It's a long shot but not undoable. If you got enough money together where you could pay players what they would make in the nfl, alot of them would take the money. Plus you could change sum rules to give the game a better flow. Plus if you didn't have salary cap the top nfl players (reggie bush) could get far more money then any nfl team is willing to pay them because of the cap.
Competition is good, if nothing else it could force the NFL to adopt long overdue changes and make the game more enjoyable for the fans.

Rival the NFL? Doubt it.

If memory serves the USFL was a bit more succesful than the XFL, granted neither could stand up the the NFL juggernaut.
